General Terms and Conditions (GTC) for Coaching Services and Facilitation
1. Purpose of the GTC
Unless otherwise agreed in writing between the Coach and the Client, these General Terms and Conditions (GTC) apply to all coaching and facilitation services offered by Ratha ROS (hereinafter "the Coach"). They define the conditions under which these services are provided to the Client, and any order implies full and complete acceptance of these GTC.
2. Description of Services
The Coach offers personal and professional coaching services designed to assist the Client in their personal or professional development and reflection. The coaching engagement is carried out with due respect for the Client’s autonomy and responsibility. These services may include, but are not limited to individual sessions, group sessions, workshops, and follow-ups by phone or online.
3. Definition of the Coaching Objectives
The specific objectives of the coaching will be defined jointly at the beginning of the collaboration and may be adjusted based on the Client’s needs and progress.
4. Duration and Organisation of Sessions
The total duration of the coaching programme is determined and agreed upon in advance, and the fee reflects this duration. Individual sessions have an indicative duration of 1 hour to 1 hour 30 minutes, which may be adjusted on an exceptional basis and extended up to 2 hours depending on the selected programme. The session schedule may be adjusted as needed, by mutual agreement between the Coach and the Client, without affecting the total duration or the agreed fee.
Sessions may be conducted online, in person, or in a hybrid format, according to what is agreed between the Coach and the Client.
5. Fees and Payment Terms
Service fees are quoted in euros and may vary depending on the type of coaching provided (individual, group, etc.). The total amount and payment terms are specified in the quote or proposal provided to the Client. Payment may be made by bank transfer or any other method accepted by the Coach.
6. Rescheduling and Cancellation of Sessions
The Client may reschedule a session by notifying the Coach at least 48 hours in advance. Any cancellation or rescheduling made less than 48 hours before the scheduled session will be considered due. At the Coach’s discretion, an alternative solution may be offered, particularly in exceptional circumstances. Similarly, the Coach will inform the Client as soon as possible and propose a rescheduled session in the event of exceptional circumstances beyond their control.
7. Termination and Renewal
Either party may terminate this agreement at any time, subject to one week’s written notice. Termination by the Client before the end of the coaching programme does not entitle the Client to a refund. In case of termination by the Coach, amounts corresponding to sessions not delivered will be refunded on a pro-rata basis.
The agreement may be renewed by amendment, subject to mutual agreement between the parties.
8. Liability
The Coach undertakes to support the Client with professionalism and diligence, within the framework of a best-effort obligation. The Client remains fully responsible for their decisions and actions taken following the coaching sessions.
9. Confidentiality
The Coach undertakes to respect the confidentiality of information exchanged with the Client during coaching sessions, except where disclosure is required by law, or in the context of supervision, while maintaining anonymity.
10. Right of Withdrawal
The Client has a 14-calendar-day right of withdrawal from the date of signing the agreement or accepting the Terms and Conditions. The Client must notify the Coach in writing. If sessions have commenced before the end of the withdrawal period, any refund will be calculated on a pro-rata basis for the sessions already conducted.
11. Personal Data Protection
Personal information collected in the context of the coaching services will be processed in accordance with applicable data protection laws, including the GDPR where relevant. The Client has the right to access, correct, and request the deletion of their personal data.
12. Governing Law and Jurisdiction
These Terms and Conditions are governed by Luxembourg law. In the event of a dispute, and failing an amicable resolution, the courts of the Coach’s registered office shall have exclusive jurisdiction.
